Establishment or the sole proprietorship is an entity owned by one individual to undertake a business activity (commercial, professional, industrial, agricultural or craft). The owner of the establishment assumes all its financial responsibilities including its financial liabilities. If the establishment is owned by a foreign national, he should appoint a UAE national service agent.
An establishment may take different legal forms:

• Establishment owned by a UAE national

• Establishment owned by a GCC national

• Establishment owned by a foreign investor

• Establishment set up as part of the Mubdi’ah Programme

Limited Liability Company: it is a company where the number of partners may not be more than 50 or less than two, and the share of the UAE national or nationals in the firm’s capital shall not be less than %51 of the company’s total shares.

It is a company that consists of two or more partners who are jointly responsible for all its obligations. All partners of a partnership company should be UAE nationals.

It is a company that consists of one or more general partners who shall be liable for all its liabilities, and one or more limited partners who shall be liable for the company’s liabilities only to the extent of their respective shares in its capital.

A Private Shareholding Company may be set up by its founders whose number shall not be less than 3 and they should subscribe all its capital that must not be less than AED 2 million.

A Public Shareholding Company is a company that has its capital divided into equal value and tradable shares, and each partner is liable to the extent of his respective share in the capital.

It is the branch of a parent entity (company /establishment) based in Abu Dhabi, other emirates or abroad to practice the activity or activities of the parent entity. Foreign companies or companies based in other emirates should not practice its main activity in Abu Dhabi or establish its offices or branches before being issued with a licence from the Department of Economic Development (DED).

The branch takes different legal forms:

• Branch of a local individual organization from Abu Dhabi.

• Branch of an institution from another Emirate.

• A local company branch from Abu Dhabi.

• A company branch from another Emirate.

• Foreign company branch.

• Gulf company branch.

• Branch of a Gulf company with a foreign investor.

• Branch of a local free-zone company.

The legal form of free zone enterprises must take one of the following forms:

• Free Zone Limited Liability Company.
